These Terms of Service ("Terms") govern your access to and use of the Soline platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using Soline, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility and Age Requirements
You must be at least 13 years old to use the Service. By accessing or using Soline, you represent and warrant that you meet this requirement. If you are under the age of 18, you further represent and warrant that you have obtained permission from a parent or legal guardian to use the Service and that such parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right, at our sole discretion, to request proof of age or parental consent and to suspend or terminate access to the Service if we believe that a user does not meet the eligibility requirements.
2. Description of the Service
Soline provides users with tools and functionality to generate, curate, organize, and share visual boards, including aesthetic layouts, product groupings, and related digital content. The Service may incorporate and display content sourced from third parties, including but not limited to product catalogs, images, APIs, and other external data providers. You acknowledge and agree that the features, functionality, outputs, and content of the Service may change at any time, and we reserve the right to modify, suspend, or discontinue any aspect of the Service, in whole or in part, at any time and without prior notice.
3. Accounts and Security
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information and to maintain the security and confidentiality of your login credentials. You are solely responsible for all activities that occur under your account, whether or not authorized by you. You agree not to share your account, transfer it to another party, or impersonate any individual or entity. We reserve the right to suspend, restrict, or terminate accounts at our sole discretion, including in cases of suspected misuse, fraudulent activity, or violation of these Terms.
4. User Content and License
You retain ownership of any content you create, upload, or generate through the Service ("User Content"). However, by using Soline, you grant Astyne LLC a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and modify such content solely as necessary to operate, maintain, promote, and improve the Service. You represent and warrant that you have all necessary rights to your User Content and that such content does not violate any applicable laws or infringe upon the rights of any third party. You acknowledge that images and other User Content you upload may be stored in our databases and supporting systems as part of operating the Service. Uploaded content must be appropriate and lawful, and we do not condone copyright infringement or unauthorized use of third-party intellectual property. We reserve the right, but not the obligation, to remove, restrict, or review any User Content at any time and for any reason, including compliance with legal obligations.
5. Third-Party Content, Images, and Products
Soline may display or reference products, images, services, or other content provided by third parties, including content retrieved from public sources or third-party platforms. You acknowledge that we do not control and are not responsible for such third-party content. We do not guarantee the accuracy, completeness, legality, availability, or reliability of any third-party information, including product descriptions, images, pricing, or availability. Any interactions, transactions, or purchases made through third-party links or services are solely between you and the applicable third party, and Astyne LLC shall not be liable for any issues, damages, or losses arising from such interactions. You further acknowledge that visual outputs and boards generated by the Service are for informational and aesthetic purposes only and should not be relied upon as accurate, complete, or authoritative.
6. Payments, Subscriptions, Billing, and Refunds
Certain features of the Service may require payment, including subscription-based offerings such as Pro or Unlimited plans. By subscribing to any paid feature, you agree that you are authorizing recurring charges to your designated payment method unless and until you cancel your subscription. You are responsible for managing and canceling your subscription prior to renewal. All payments are final and non-refundable to the fullest extent permitted by law, including but not limited to partial billing periods, unused time, or dissatisfaction with the Service. We reserve the right to modify pricing, introduce new fees, or change the features included in any subscription plan at any time. Billing descriptors may appear as "ASTYNE SERVICES" or similar. We are not responsible for overdraft fees, bank charges, or third-party payment processing issues.
7. Service Availability, Reliability, and No Guarantees
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We expressly disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee that the Service will be uninterrupted, secure, or error-free, nor do we guarantee that any defects will be corrected. The Service may experience downtime, delays, failures, or data loss due to maintenance, technical issues, infrastructure limitations, or third-party service disruptions. You acknowledge that your use of the Service is at your own risk and that Astyne LLC shall not be liable for any resulting damages or losses.

To the fullest extent permitted by law, Astyne LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. In no event shall our total liability exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Astyne LLC and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

All aspects of the Service, including its design, functionality, content, branding, and software, are owned by or licensed to Astyne LLC and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, reverse engineer, or otherwise exploit any part of the Service without prior written consent.
14. DMCA and Copyright Policy
We respect intellectual property rights and respond to valid takedown requests. If you believe content on Soline infringes your copyright, you may submit a notice to legal@astyne.com including sufficient information to identify the allegedly infringing material. We may remove or disable access to content in response to such notices and may terminate repeat infringers.
15. No Reliance
You acknowledge and agree that you are not relying on the Service, its outputs, or any content for any commercial, purchasing, or decision-making purpose. The Service is provided for general, aesthetic, and informational use only, and you assume full responsibility for any actions taken based on the Service.
16. Dispute Resolution and Arbitration
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration on an individual basis, rather than in court, except where prohibited by law. Arbitration shall be conducted in Arizona in accordance with applicable arbitration rules. You waive your right to a jury trial and to participate in any class action or representative proceeding.

To the fullest extent permitted by law, you agree that any claims shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States. Any arbitration or permitted legal proceedings shall take place within Arizona.
